1. Acceptance of Terms

By engaging with the digital services provided by Haya Naturals (SMC-Private) Limited (“Haya Naturals,” “we,” “us,” or “our”), the client (“Client,” “you,” or “your business”) agrees to be bound by these Terms & Conditions, which govern the provision of our B2B digital integration and IT solutions.

2. Our Services

Haya Naturals provides B2B technology services focused on secure and compliant API integration to connect verified business platforms with digital payment infrastructures.

Nature of Service: We function exclusively as a B2B technology provider and integration specialist.
Exclusions: We DO NOT operate as a payment gateway, a financial institution, or an entity that onboards or processes payments for public consumers.

3. Client Eligibility and Verification

B2B Mandate: Services are strictly limited to legally registered businesses that pass our verification process.
Review Structure: All Clients are subject to our mandated single-layer review structure, ensuring full transparency and compliance throughout the service duration.
Compliance: The Client warrants that their business operations are fully compliant with all applicable laws and regulations in their jurisdiction and in Pakistan.

4. Responsibilities of the Client

API Usage: The Client is responsible for the appropriate and secure use of the API connectivity provided by Haya Naturals.
Client Data: The Client remains solely responsible for the integrity, legality, and security of any data, including consumer data, residing on their own platform or transmitted via the integration. Haya Naturals does not store or process end-user payment information.

5. Intellectual Property

All intellectual property rights related to Haya Naturals’ platform, IT solutions, API specifications, and integration methodology remain the sole property of Haya Naturals (SMC-Private) Limited. The Client is granted a non-exclusive, non-transferable license to use the API for the agreed-upon integration services.

6. Limitation of Liability

Haya Naturals is a technology service provider and shall not be held liable for any loss, damage, or disruption arising from:

Failures or downtime of the underlying digital payment infrastructure (which we only connect to, but do not operate).
Misuse of the API by the Client or unauthorized third parties.
Consequences arising from the Client’s non-compliance with applicable laws.

7. Termination

We reserve the right to suspend or terminate services immediately if the Client:

Breaches any part of these Terms & Conditions.
Fails to maintain the necessary compliance standards under our single-layer review.
Engages in any activity that could jeopardize the security or reputation of our platform or the connected payment infrastructure.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of Pakistan.ms periodically.
